Terms of Service

Welcome to Vara Lab ("Vara" or the "Service"), operated by the Vara team (based in the United Kingdom). By creating an account or using the Service, you acknowledge that you have read and agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Service.
1. The Service
Vara is an AI-assisted experiment workflow tool for researchers, offering document parsing, protocol reproduction, parameter management and run logging. The Service is currently in Beta; features, pricing and availability may change at any time.
2. Eligibility & Account
- You must be at least 18 years old or have guardian consent
- Provide a valid email, safeguard your credentials, and remain responsible for all activity on your account
- No account sharing, reselling, or mass registration
- We may suspend or terminate accounts that violate these Terms
3. Permitted Use (Academic Only)
The Service is provided for non-commercial academic research, teaching and personal learning only. You agree not to use it for:
- Clinical diagnosis, treatment, or medication decisions involving human subjects
- Manufacturing, sale, or regulatory filings for drugs, medical devices or chemical products
- Generating or reproducing protocols involving explosives, weapons, narcotics, BSL-4 pathogens or other unlawful materials
- Research violating applicable law, export controls or research ethics
- Circumventing rate limits, paywalls or security mechanisms of the Service
- Training models that compete with the Service
4. User Content
- You retain all intellectual property rights to documents, experiment data and notes you upload ("User Content")
- You represent that your User Content does not infringe third-party copyrights, trade secrets or confidentiality agreements
- You grant Vara a limited, non-exclusive, revocable license to store, process and display your User Content and to submit it to third-party AI providers, solely to operate the Service
- This license does not include selling, publishing, or training AI models on your content
5. AI Output Disclaimer
The Service integrates third-party large language models (MiniMax, Google Gemini, OpenAI, etc.) for document parsing and content generation. You understand that:
- AI outputs may contain errors, omissions, hallucinations or misleading content
- AI is not a licensed professional and does not provide medical, legal, safety or other professional advice
- Before relying on AI outputs for actual experimentation, you must verify against primary sources and have a qualified person review
- Vara is not liable for experimental failure, data errors, sample loss, personal injury or property damage arising from AI outputs

6. Subscriptions & Billing
- Paid plans are sold through Creem (creem.io) as our Merchant of Record. Creem processes payments, collects applicable tax and issues receipts; its terms of sale apply together with these Terms
- Subscriptions renew automatically each month. You may cancel anytime in Settings > Billing > Manage subscription; you will not be charged again and keep access until the end of the paid period
- Except where required by law or listed in our Refund & Subscription Policy (duplicate charges, charges after cancellation, or paid features unavailable for more than 7 days due to our fault), payments for a period that has started are non-refundable. The policy explains how to request a refund
- Price changes will be notified to existing subscribers at least 30 days in advance
7. Warranty Disclaimer & Liability Cap
To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind. Vara is not liable for any indirect, incidental or consequential damages (including data loss, research delay, paper retraction). Vara's aggregate liability is capped at the subscription fees you paid in the preceding 12 months or USD 50, whichever is lower.
8. Changes & Termination
- We may modify, suspend or discontinue any part of the Service; material changes will be announced in advance
- You may delete your account at any time; data will then be handled per the Privacy Policy retention rules
- We may immediately terminate accounts in material breach, without refund
9. Modifications to These Terms
Material changes will be announced in the Service; continued use after the effective date constitutes acceptance.
10. Governing Law & Disputes
These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules. Disputes shall first be referred to good-faith negotiation (30 days). Failing resolution, disputes shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration (LCIA). The seat of arbitration shall be London. The language of arbitration shall be English. Awards are final and enforceable worldwide under the New York Convention. Nothing in these Terms waives non-waivable consumer rights under your local law.
